Terms of Service

1. ACCEPTANCE OF TERMS

By accessing, using, or downloading any part of our services, including the Premium Workspace platform ("Service") and the SunoSaver browser extension ("Extension"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

These Terms constitute a legally binding agreement between you and Alessandro Bellucci, operating under the brand "Flexia" ("we," "us," "our").

2. DESCRIPTION OF SERVICES

2.1 Premium Workspace Platform

Premium Workspace is a comprehensive AI-enhanced music production and creativity platform providing:

SunoSaver is a companion browser extension that enables:

• 📋 Metadata Extraction: Automatic extraction of song titles, artists, tags, prompts, and technical details
• 🏷️ Smart Organization: Automatic categorization and tagging of saved content
• ⚡ One-Click Workflow: Seamless transition from discovery to professional editing
• 📱 Cross-Platform Sync: Access saved songs across all devices through your workspace

Both services work together as an integrated ecosystem for professional AI music workflow management.

3. SUBSCRIPTION PLANS AND BILLING

3.1 Available Plans

3.2 Billing and Payment

• Subscription Billing: Premium subscriptions are billed monthly on the same calendar day as your initial subscription
• Payment Methods: We accept major credit cards and PayPal through our secure payment processor Stripe
• Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the next billing cycle
• Cancellation: You may cancel your subscription at any time through your account settings
• Refunds (credits, not cash): Our standard remedy for service problems is a restoration of credits to your account, not a monetary refund. If a paid AI operation fails, errors out, or is delivered defective due to a technical fault or bug on our side, we will, at our discretion, re-credit the affected credits so you can retry at no additional cost.
• Monetary refunds: Monetary refunds are limited to cases required by mandatory consumer law (for example, billing errors or duplicate charges, or a valid right of withdrawal where it has not been waived). A delivered AI result that you simply dislike is not eligible for a refund (see Sections 7 and 9).

3.3 AI Credits System

• Credit Allocation: Credits are used for AI-powered features including lyrics generation, prompt optimization, and audio analysis
• Render Credits: The Music Video Generator uses a separate "render credits" balance dedicated to video generation. Render credits can be purchased in packs and are distinct from the AI credits described above.
• Credit Pricing: Current prices for AI credits and render credit packs are shown on our pricing page and within the app, and may change over time.
• Credit Expiration: Purchased credits do not expire; monthly subscription credits expire at the end of each billing cycle
• Credit Usage: AI credits are consumed upon successful completion of AI operations. Render credits used by the Music Video Generator are consumed when generation begins, because real costs are incurred with third-party AI rendering providers at that moment (see Section 7).
• Non-Transferable: Credits cannot be transferred between accounts or refunded for cash value

4. USER ACCOUNTS AND RESPONSIBILITIES

4.1 Account Creation

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 13 years old to create an account (or 16 in the EU)
• One person may maintain only one account unless explicitly authorized by us

4.2 Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You may not:

• Upload, share, or create content that violates copyright, trademark, or other intellectual property rights
• Use our services to create content that is illegal, harmful, threatening, abusive, or discriminatory
• Attempt to reverse engineer, decompile, or extract source code from our services
• Use automated systems or bots to access our services without explicit permission
• Share account credentials or allow unauthorized access to your account
• Use our services to compete with us or develop competing products

4.3 Content Ownership and Licensing

• Your Content: You retain ownership of all content you create, upload, or generate using our services
• License to Us: You grant us a limited, non-exclusive license to process, store, and display your content solely for providing our services
• AI-Generated Content: Content generated by our AI tools is considered your creative work, subject to our AI Content Guidelines
• Third-Party Content: You are responsible for ensuring you have rights to any third-party content you upload or reference

5. PRIVACY AND DATA PROTECTION

5.1 Data Collection and Use

Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points include:

• Personal Data: We collect only the minimum data necessary to provide our services
• AI Training: Your content may be used to improve our AI models, but we implement privacy-preserving techniques
• Analytics: We collect usage analytics to improve our services and user experience
• Security: We implement industry-standard security measures to protect your data

5.2 Data Retention and Deletion

• Account Data: Personal account information is retained as long as your account is active
• Project Data: Saved projects and content are retained according to your subscription level
• AI Artifacts: Generated content is retained to provide service continuity and improve AI models
• Deletion Rights: You may request deletion of your data subject to legal and operational requirements

5.3 SunoSaver Extension Data Handling

• Local Storage: The extension stores data locally in your browser
• Sync Data: Optional cloud sync requires a Premium Workspace subscription
• Third-Party Data: Data extracted from Suno.com is subject to Suno's terms and our processing guidelines
• User Control: You maintain full control over what data is saved and synchronized

6. INTELLECTUAL PROPERTY

6.1 Our Intellectual Property

• All software, algorithms, designs, and proprietary technologies are owned by us or our licensors
• Our trademarks, service marks, and logos are protected intellectual property
• You may not copy, modify, distribute, or create derivative works of our intellectual property

6.2 User-Generated Content

• You retain ownership of content you create using our services
• You are responsible for ensuring your content doesn't infringe on third-party rights
• You grant us permission to display and process your content for service functionality

6.3 AI-Generated Content Guidelines

• Originality: AI-generated content should be used as a creative starting point, not as final commercial work without review
• Attribution: While not required, we appreciate attribution when our AI tools significantly contribute to your creative work
• Commercial Use: You may use AI-generated content for commercial purposes, subject to these Terms
• Responsibility: You are solely responsible for the final content you create and publish

7. AI VIDEO GENERATION (MUSIC VIDEO GENERATOR)

The Music Video Generator ("MVG") creates AI-generated music videos from the audio, lyrics, and any images you provide, across different modes (including Cinematic, Avatar, and Platinum). MVG is powered by render credits (Section 3.3), and the following terms apply specifically to it.

7.1 Third-Party AI Rendering

• To generate your video, the audio, lyrics, prompts, and images you provide are transmitted to and processed by third-party AI rendering providers acting on our behalf. These providers may change over time.
• By using MVG, you consent to this third-party processing. Each provider applies its own content moderation and may reject or block material it considers non-compliant.

7.2 Render Credits and Refunds

• Consumed at generation: Render credits are consumed when generation begins, because we incur real, non-recoverable costs with third-party providers at that moment. They are not refundable for cash.
• Technical failure: If a generation fails or is delivered defective due to a technical fault on our side, we will, at our discretion, restore the affected render credits so you can retry (see Section 3.2).
• Results you dislike: AI output is probabilistic and we do not guarantee any particular creative result. A successfully delivered video that does not match your expectations is not eligible for a refund or credit restoration.
• Blocked content: If a provider blocks or rejects your generation because your input violates content rules, this is treated as your responsibility and is not eligible for a refund or credit restoration.

7.3 Immediate Performance and Right of Withdrawal

By starting a generation, you expressly request that we begin performance immediately, and you acknowledge that, to the extent the law grants you a right of withdrawal for digital content or services, you lose that right once generation has begun and render credits have been consumed.

7.4 Rights, Consent, and Likeness

• You represent and warrant that you own or have all necessary rights, licenses, and permissions to the audio, lyrics, and images you upload to MVG.
• Likeness and voice: Where you upload material featuring a person's face or voice (including, but not limited to, the Avatar mode), you represent and warrant that you have that person's consent to use their likeness and voice for AI video generation.
• You are responsible for ensuring your inputs and the resulting video do not infringe any third party's intellectual property, privacy, publicity, or other rights.

7.5 Ownership of Output

• Subject to these Terms and your compliance with them, you own the music videos you generate with MVG and may use them for commercial purposes.
• You remain solely responsible for the videos you create, publish, and distribute.

8. SERVICE AVAILABILITY AND MODIFICATIONS

8.1 Service Availability

• We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We reserve the right to temporarily suspend services for security or maintenance reasons

8.2 Service Modifications

• We may modify, update, or discontinue features with reasonable notice
• Significant changes to core functionality will be communicated at least 30 days in advance
• We will maintain backward compatibility for API integrations when technically feasible

9. LIMITATION OF LIABILITY

9.1 Service Limitations

• Our services are provided "as is" without warranties of any kind
• We do not guarantee the accuracy, completeness, or quality of AI-generated content. This applies in particular to AI-generated video (Music Video Generator), whose output is probabilistic and may vary, contain artifacts, or not match your expectations.
• You use our services at your own risk and discretion

9.2 Liability Limits

• Our total liability is limited to the amount you paid for services in the 12 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages
• These limitations apply to the fullest extent permitted by law

10. TERMINATION

10.1 Termination by You

• You may terminate your account at any time through your account settings
• Subscription cancellations take effect at the end of the current billing period
• You remain responsible for all charges incurred before termination

10.2 Termination by Us

• We may suspend or terminate accounts that violate these Terms
• We will provide reasonable notice except in cases of severe violations or legal requirements
• Upon termination, your right to use our services ceases immediately

10.3 Data After Termination

• We will retain your data for 30 days after account termination to allow for reactivation
• After 30 days, personal data will be deleted according to our data retention policies
• Some data may be retained longer for legal compliance or legitimate business purposes

11. DISPUTE RESOLUTION

11.1 Governing Law

These Terms are governed by the laws of Spain, without regard to conflict of law principles. If you are a consumer, you also benefit from any mandatory protections of the law of your country of residence, which these Terms do not override.

11.2 Dispute Resolution Process

• Informal Resolution: We encourage contacting us directly to resolve disputes before formal proceedings
• Mediation: If informal resolution fails, disputes may be resolved through mediation
• Jurisdiction: Any legal proceedings shall be brought before the competent courts of Valencia, Spain. If you are a consumer, you may also bring proceedings in the courts of your country of residence as provided by mandatory law.

12. CHANGES TO TERMS

• We may update these Terms periodically to reflect service changes or legal requirements
• Significant changes will be communicated via email and in-app notifications
• Continued use of our services after changes constitutes acceptance of updated Terms
• If you disagree with changes, you may terminate your account before they take effect

13. MISCELLANEOUS

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

13.3 Assignment

We may assign these Terms or our rights hereunder without your consent. You may not assign your rights without our written consent.

13.4 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or government actions.
